1. Agreement to Terms

By accessing or using Good Stuart's services ("Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these terms, you may not access our Service.

These Terms apply to all visitors, users, and others who access or use our Service, including businesses that create profiles on our platform.

2. Service Description

2.1 What We Provide

Good Stuart provides a platform for service-based businesses to create and maintain professional websites. Our Service includes:

  • Professional website design and hosting
  • Custom business profile pages
  • Lead generation and contact form functionality
  • Search engine optimization (SEO) services
  • Optional custom domain setup
  • Analytics and lead tracking

2.2 Pay-Per-Lead Model

Our Service operates on a pay-per-lead basis. You are not charged any setup fees, monthly fees, or maintenance costs. You only pay when a qualified lead contacts you through your Good Stuart website.

3. Payment Terms

3.1 Pricing

  • Standard Rate: $25 per qualified lead
  • Pre-purchased Credits: $20 per lead when purchased in advance

3.2 Payment Methods

We accept payment via credit card, debit card, and ACH bank transfer. All payments are processed securely through Stripe.

3.3 Billing Process

  • For pay-as-you-go customers: Your card will be charged within 24 hours of receiving a qualified lead
  • For pre-purchased credits: Credits will be deducted from your account balance
  • You will receive an email notification for each lead and charge

3.4 Refund Policy

Refunds may be issued for leads that do not meet our qualification criteria. Refund requests must be submitted within 7 days of the lead being delivered. Pre-purchased credits are non-refundable but do not expire.

4. Lead Qualification

4.1 What Constitutes a Qualified Lead

A qualified lead is defined as a genuine inquiry from a potential customer that includes:

  • Valid contact information (name, email, and/or phone number)
  • A specific inquiry about your services
  • Intent to potentially hire or engage your services
  • Geographic relevance to your service area

4.2 What Does NOT Qualify as a Lead

  • Spam or automated bot submissions
  • Duplicate inquiries from the same person within 30 days
  • Job applications or employment inquiries
  • Sales solicitations to your business
  • Existing customers (unless seeking new services)
  • Test submissions or internal inquiries

4.3 Lead Verification

We employ multiple methods to verify lead quality, including:

  • CAPTCHA and honeypot fields to prevent spam
  • IP address tracking and verification
  • Form submission timing analysis
  • Content analysis for genuine inquiries

5. User Responsibilities

5.1 Account Information

You are responsible for:

  • Providing accurate and complete business information
  • Maintaining current contact information
  • Keeping your payment information up to date
  • Responding to leads in a timely manner

5.2 Prohibited Uses

You agree not to:

  • Use the Service for any illegal or unauthorized purpose
  • Misrepresent your business or services
  • Upload content that infringes on intellectual property rights
  • Attempt to manipulate or game the lead generation system
  • Share or resell leads to third parties
  • Use the Service to harm, harass, or defraud others

5.3 Content Standards

All content you provide must be:

  • Accurate and not misleading
  • Lawful and not infringing on others' rights
  • Professional and appropriate for all audiences
  • Free from hate speech, discrimination, or offensive material

6. Intellectual Property

6.1 Your Content

You retain all rights to the content you provide for your business profile. By uploading content to our Service, you grant Good Stuart a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content solely for the purpose of operating and promoting our Service.

6.2 Our Platform

The Good Stuart platform, including all software, design, text, images, and other content (excluding user-provided content), is owned by Good Stuart and protected by copyright, trademark, and other intellectual property laws.

6.3 Feedback

Any feedback, suggestions, or ideas you provide about our Service may be used by Good Stuart without any obligation to compensate you.

7. Privacy & Data Protection

7.1 Data Collection

We collect and process data as described in our Privacy Policy, which is incorporated into these Terms by reference.

7.2 Lead Data

Lead information is collected solely for the purpose of connecting potential customers with your business. You agree to:

  • Use lead data only for business purposes
  • Not sell or share lead data with third parties
  • Comply with all applicable data protection laws
  • Delete lead data upon request from the lead

7.3 Security

We implement reasonable security measures to protect your data. However, no internet transmission is completely secure, and we cannot guarantee absolute security.

8. Termination

8.1 Termination by You

You may terminate your account at any time by contacting our support team. Upon termination:

  • Your website will be deactivated
  • No new leads will be generated or charged
  • Any pre-purchased credits remain valid for 12 months
  • Your data will be retained for 90 days before deletion

8.2 Termination by Good Stuart

We may suspend or terminate your account if you:

  • Violate these Terms
  • Fail to pay for leads
  • Engage in fraudulent or harmful behavior
  • Have excessive refund requests or disputes

8.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that should reasonably survive termination will remain in effect.

9. Disclaimers & Limitations

9.1 Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance and unforeseen circumstances may affect availability.

9.2 Lead Generation

While we employ various marketing and SEO strategies, we cannot guarantee a specific number of leads or business outcomes. Lead volume depends on many factors including your industry, location, and market conditions.

9.3 Third-Party Services

Our Service may integrate with third-party services (payment processors, analytics tools, etc.). We are not responsible for the availability or accuracy of these external services.

9.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOOD STUART SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

9.5 Indemnification

You agree to indemnify and hold harmless Good Stuart, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

10. General Provisions

10.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

10.2 Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall first be attempted to be resolved through good faith negotiations. If unsuccessful, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

10.3 Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email or through the Service. Your continued use of the Service after changes constitutes acceptance of the new Terms.

10.4 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

10.5 Entire Agreement

These Terms constitute the entire agreement between you and Good Stuart regarding the use of our Service, superseding any prior agreements.
